ORW USA INC: Web Site Agreement

The orw USA inc web site (The “site”) Is an online information service provided by orw USA inc, subject to the terms and conditions set forth below. Please read this document carefully before accessing or using the site. By accessing or using the site, you hereby agree to be bound by the terms and conditions set forth below. If you do not wish to be bound by these terms and conditions, you May not access or use the site. Orw USA inc May modify this agreement at any time, and such modifications shall be effective immediately upon posting of the modified agreement on the site. You agree to review the agreement periodically to be aware of such modifications and your continued access or use of the site shall be deemed your conclusive acceptance of the modified agreement.

1) Copyright, Licenses and Idea Submissions

The entire contents of the Site are protected by U.S. and international copyright and trademark laws. The owner of the copyrights and trademarks are ORW USA INC, its affiliates or other third party licensors. You May not modify, copy, reproduce, republish, upload, post, transmit, or distribute, in any manner, the material on the site, including text, graphics, code and/Or software. You may print and download portions of material from the different areas of the Site solely for your own non-commercial use provided that you agree not to change or delete any copyright or proprietary notices from the materials. You agree to grant to ORW USA INC a non-exclusive, royalty-free, worldwide, perpetual license, with the right to sub-license, to reproduce, distribute, transmit, create derivative works of, publicly display and publicly perform any materials and other information (including, without limitation, ideas contained therein for new or improved products and services) you submit to any public areas of the Site (such as bulletin boards, forums and newsgroups) or by e-mail to ORW USA INC by all means and in any media now known or hereafter developed. You also grant to ORW USA INC the right to use your name in connection with the submitted materials and other information as well as in connection with all advertising, marketing and promotional material related thereto. You agree that you shall have no recourse against ORW USA INC for any alleged or actual infringement or misappropriation of any proprietary right in your communications to ORW USA INC.

2) Use of the Site

You assume total responsibility and risk for your use of the site and the internet. Orw USA inc provides the site and related information “as is” and does not make any express or implied warranties, representations or endorsements whatsoever (Including without limitation warranties of title or noninfringement, or the implied warranties of merchantability or fitness for a particular purpose) With regard to the service, any merchandise information or service provided through the service or on the internet generally, and orw USA inc shall not be liable for any pricing errors, or any cost or damage arising either directly or indirectly from any such transaction. It is solely your responsibility to evaluate the accuracy, completeness and usefulness of all opinions, advice, services, merchandise and other information provided through the service or on the internet generally. Orw USA inc does not warrant that the service Will be uninterrupted or error-free or that defects in the service Will be corrected.

Limitation of liability in no event Will orw USA inc be liable for (I) Any incidental, consequential, or indirect damages (Including, but not limited to, damages for loss of profits, business interruption, loss of programs or information, and the like) Arising out of the use of or inability to use the service, or any information, or transactions provided on the service, or downloaded from the service, or any delay of such information or service. Even if orw USA inc or its authorized representatives have been advised of the possibility of such damages, or (Ii) Any claim attributable to errors, omissions, or other inaccuracies in the service and/Or materials or information downloaded through the service. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation May not apply to you. In such states, orw USA inc’s liability is limited to the greatest extent permitted by law.

ORW USA INC makes no representations whatsoever about any other web site which you may access through this one or which may link to this Site. When you access a non-ORW USA INC Web site, please understand that it is independent from ORW USA INC, and that ORW USA INC has no control over the content on that Web site. In addition, a link to a ORW USA INC Web site does not mean that ORW USA INC endorses or accepts any responsibility for the content, or the use, of such Web site.

3) Indemnification

You agree to indemnify, defend and hold harmless ORW USA INC, its officers, directors, employees, agents, licensors, suppliers and any third party information providers to the Service from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of this Agreement, including negligent or wrongful conduct) by you or any other person accessing the Service.

4) Third Party Rights

The provisions of paragraphs 2 (Use of the Service), and 3 (Indemnification) are for the benefit of ORW USA INC and its officers, directors, employees, agents, licensors, suppliers, and any third party information providers to the Service. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.

5) Term; Termination

This Agreement may be terminated by either party without notice at any time for any reason. The provisions of paragraphs 1 (Copyright, Licenses and Idea Submissions), 2 (Use of the Service), 3 (Indemnification), 4 (Third Party Rights) and 6 (Miscellaneous) shall survive any termination of this Agreement.

6) Miscellaneous

This Agreement shall all be governed and construed in accordance with the laws of the State of California applicable to agreements made and to be performed in California. You agree that any legal action or proceeding between ORW USA INC and you for any purpose concerning this Agreement or the parties' obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in California. Any cause of action or claim you may have with respect to the Service must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. ORW USA INC's failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. ORW USA INC may assign its rights and duties under this Agreement to any party at any time without notice to you.

4 Wheel Parts (4WP) uses cookies to collect information around abandoned shopping carts. A cart is considered abandoned within one hour of inactivity/lack of purchase. Once the cart is considered abandoned, an SMS message will be sent as a reminder

7) Mobile Terms & Conditions

4 Wheel Parts (4WP) offers its customers mobile alerts regarding sale promotions, event information, product launch announcements, cart reminders, back in stock alerts, price drop alerts, low inventory alerts by SMS message (the "Service") on 21208. By participating in the Service, you are agreeing to these Terms and to the privacy policy.

Signing Up and Opting-In to the Service

Enrollment in the Service requires you to provide your mobile phone number and to agree to these terms and conditions. You may not enroll if you are under 18 years old. Before the Service starts, you will need to agree to these Terms. 4 Wheel Parts (4WP) reserves the right to stop offering the Service at any time with or without notice.

By opting into the Service, you: 

A. Authorize 4 Wheel Parts (4WP) to use auto dialer or non-auto dialed technology to send recurring text messages to the mobile phone number associated with your opt-in (i.e., the number listed on the opt-in form or, if none, the number from which you send the opt-in, or, if none, the number on file for the account associated with your opt-in). 

B. Acknowledge that you do not have to agree to receive messages as a condition of purchase.

 C. Confirm that you are the subscriber to the relevant phone number or that you are the customary user of that number on a family or business plan and that you are authorized to opt in.

 D. Consent to the use of an electronic record to document your opt-in. To request a free paper or email copy of the opt-in or to update our records with your contact information, call customer support at 877-874-4821. To view and retain an electronic copy of these Terms or the rest of your opt-in, you will need (i) a device (such as a computer or mobile phone) with Internet access, and (ii) and either a printer or storage space on such device. For an email copy, you'll also need an email account you can access from the device, along with a browser or other software that can display the emails.

Once you affirm your choice to opt-in to the Service on 21208, your message frequency may vary. You may receive alerts about:

Charges and Carriers

Message and data rates may apply. Please consult your service agreement with your wireless carrier or contact your wireless carrier to determine your phone's pricing plan and the charges for sending and receiving text messages. You acknowledge that you are responsible for any message, data or other charges incurred (usage, subscription, etc.) as a result of using the Service.

  Supported carriers are AT&T, T-Mobile, Verizon Wireless, Sprint, Boost, Virgin Mobile, U.S. Cellular, Cricket, Alltel, Cincinnati Bell, Cellcom, C-Spire, nTelos, MetroPCS, and other smaller regional carriers. The Service may not be available on all wireless carriers. 4 Wheel Parts (4WP) may add or remove any wireless carrier from the Service at any time without notice. 4 Wheel Parts (4WP) and mobile carriers are not responsible for any undue delays, failure of delivery, or errors in messages.

To Stop the Service

To stop receiving text messages from 4 Wheel Parts (4WP), text the word STOP to 21208 any time or reply STOP to any of the text messages you have received from 4 Wheel Parts (4WP). After texting STOP to 21208, you will receive one additional message confirming that your request has been processed.

8) Misprint

ORW USA INC is not responsible or obligated to honor any price or quantity misprint on the Site. Errors can and do occur despite best efforts to avoid them. Prices, quantities and terms listed on the Site are advertisements only. They are not offers to contract. Any purported purchases made by you on the Site remain subject to review and acceptance by ORW USA INC.

9) Image and Pictures on the site

The individual product images shown may represent a range or series of a product. These images are provided by our suppliers and may defer from the actual product received. We are not responsible for image discrepancies. They are for illustration purposes only and may not be an exact representation of the product.

11) No Presence Outside of California

All internet and mail order sales are transacted by ORW USA INC, which has no presence outside the state of California. Any returns should be sent to ORW USA INC at 1821 Kona Drive, Compton, California, 90220.

12) Price Matching

We will be competitive with most local and domestic competitors advertised price on an identical product. Prices may vary in retail store. Please Contact US to request a price match.

Notes

A. We will require proof of the advertised price. 

B. The item must be new, identical to the competitor's item, including the brand, size, color, model number, and quantity. 

C. The part must be in-stock at the time of placing the order.

 D. Advertised price includes all shipping, handling, any other "to-the-door" costs, and tax where applicable. 

E. Price matches that are approved with in the 30-day window will be given a credit in the form of an E-gift card or in store credit. 

F. Prices may vary in retail store.

Restrictions

This policy DOES NOT apply to:

A. Typographical errors 

B. We match the pre-tax price. We do not take sales tax into consideration for price match purposes. We will not override sales tax to match. 

C. Products that are on an online auction or third-party site. Examples: eBay, Amazon, Facebook Market Place.

 D. Damaged or "Open Box" items 

E. Discontinued, clearance, closeouts, or liquidation items 

F. Refurbished or used products from a second-hand seller 

G. Wholesale, membership, or club pricing

 H. Fraudulent websites 

I. A competitor's price that results from a price match

 J. A Price Match may not be combined with any other offer, rebate, or promotion

We reserve the right to refuse a price match for any reason.

13) Open Box and Clearance Policy

Open Box and Clearance items are offered at deeply discounted prices and are available while supplies last. These products are sold on a first-come, first-served basis, and due to high demand, inventory may deplete quickly. While we make every effort to promptly update our listings, there may be rare instances where an item sells out before we are able to remove it from our website.

In such cases, you will be notified via email, and your order will be canceled and refunded accordingly.

Please note the following:

A. All sales are final on Open Box and Clearance items — no returns, exchanges, or cancellations will be accepted once the order is confirmed. 

B. These items may be discontinued, previously returned, or have damaged packaging, but they are tested to ensure they are in good working condition (unless otherwise specified). 

C. Quantities are limited, and we cannot guarantee restocks. 

D. By purchasing these items, you acknowledge and agree to the terms outlined above.
